Definition of demerger

In connection with a demerger, the assets and liabilities of a company are transferred to one or more recipient companies.

If the transferring company ceases to exist, the demerger is termed a discontinuation. However, if only some of the assets and liabilities of a company are transferred to another company, and the transferring company continues to exists, the demerger is called a spin-off.
