Merger control

Prior notification and control of mergers, acquisitions and the establishment of joint ventures (often referred to as "merger control") are required in most countries to ensure that concentration does not lead to any significant restraint of trade by – in particular – creating or reinforcing a dominant position.

Merger screening and notification

Compliance with the rules on merger control is therefore a necessary element in any transfer of a reasonably-sized business. Plesner has acquired extensive knowledge and experience and an international network that make fast, efficient and reliable merger screening and notification in all countries – where necessary – possible, including in relation to the European Commission.

Advice in large transactions

A prior assessment in the earlier stages of a planned merger is of paramount importance in the large transactions that Plesner often handles as it is necessary to take into account whether the transaction can be approved, including the specific terms and conditions and commitments. Plesner's experts provide the necessary advice. We also plan and manage prior, informal discussions with, notification to and negotiations with the European Commission and the Danish Competition Authority and – in cooperation with our network of law firms abroad – we provide assistance in matters relating to notifications in other jurisdictions.

The assistance is often provided in cooperation with competition economists.
