For many businesses trade secrets are an important form of protection of their commercial data (for instance development plans and knowledge about sales figures, customers and suppliers) and technological information as well as knowhow (for instance test results and manufacturing processes). Trade secrets are also often used as a supplement or an alternative to proper intellectual property rights such as patents.

Plesner's advice consists of drafting and reviewing confidentiality agreements, drafting and reviewing non-solicitation clauses, non-competition clauses etc, drafting and reviewing licence agreements on the use of knowhow, advice on the protection of trade secrets as well as enforcing rights in case of abuse of trade secrets.

On 27 May 2016, the European Parliament and the Council adopted a directive on the protection of trade secrets. The directive aims at strengthening and harmonising the protection of trade secrets in the EU by making the Member States lay down uniform national rules on unlawful acquisition, use and disclosure of trade secrets. 

The directive, which will be implemented in Denmark in a completely new and separate act on trade secrets coming into force on 9 June 2018, will increase the focus on protecting and enforcing trade secrets. We will follow the Danish legislative process closely and report on it from time to time.
