Strategic Procurement

We provide strategic procurement advice to our clients on various packages, including wind turbine generators (including operations and maintenance), foundations, cables, offshore/onshore substations, and the balance of plant. Additionally, we assist clients with the chartering of important maritime assets like installation vessels and service operations vessels (including other support vessels). Furthermore, we offer guidance on relevant ancillary agreements, such as availability warranties, power curves, parent company guarantees, bonds, and direct agreements. We also ensure coordination and alignment with lenders' advisors if the windfarm is financed using non-recourse or limited recourse lending.

Project Finance

We provide legal advice to our clients regarding the financing of complex projects like offshore wind farms. We assist either lenders or borrowers in structuring, negotiating, and drafting the necessary agreements for non-recourse or limited recourse projects, including project finance projects involving credit agencies. Additionally, we help lenders manage risks within Strategic Procurement agreements. Our services also extend to advising large corporations and financiers on structuring green and sustainable finance options, such as green bonds and loans. These financing options ensure that the proceeds are used to fund eligible green projects, such as offshore wind farms.

Offtake Agreements

We provide advisory services to our clients regarding the offtake of electricity generated by offshore wind farms. Our support through power purchase agreements and ancillary agreements, seeks to ensure price stability and increasing project bankability for project developers. We also assist large corporations that are interested in the other benefits of power purchase agreements such as the establishment and use of green certificates. Europe's electricity market is becoming more integrated, and we have extensive experience in supporting clients with power purchase agreements and other related tools across the continent.

Equity

We provide strategic advice to our clients regarding partnerships for individual offshore wind farms or portfolio of offshore wind farms. Our support includes structuring, negotiating, and drafting of equity joint ventures, which are commonly used as a risk mitigation tool. Additionally, we assist clients in acquiring non-controlling, controlling, or full shares in existing projects at any phase of the project’s development. Our reputation for advising on the strategic and legal aspects of equity transactions is excellent, both in Denmark and internationally. We have experience advising both buyers and sellers.

Regulatory

We provide advice on all regulatory matters related to offshore wind farm development. This includes guidance on offshore bidding and auction processes, obtaining governmental concessions or licenses, acquiring necessary permits and consents from administrative authorities, negotiating grid connection agreements, and meeting requirements to participate in the electricity market. Additionally, we offer support to our clients regarding EU policy and law pertaining to the development of renewable energy assets, specifically offshore wind.
