Zebra's design protected by copyright
In a judgment of 16 October 2023 the Danish Maritime and Commercial High Court finds that Upström ApS has infringed Zebra A/S' rights under the Danish Copyright Act and the Danish Marketing Practices Act by selling a copy of Zebra's cable hider. The Court upheld all Zebra's claims. Plesner represented Zebra during the proceedings.

The Supreme Court finds in favour of the Ministry of Taxation in another "beneficial owner" case
Today, the Danish Supreme Court upheld the judgment given by the Danish High Court in March 2022 in yet another case in the so-called "beneficial owner" group of cases. The Supreme Court finds that Heavy Transport Denmark Holding should have withheld tax at source in respect of a dividend distribution made in 2007 and that the Danish company is liable for the tax due. With today's judgment and the Supreme Court's judgments in the four first test cases earlier this year, a clearer picture of the state of the law in this particular area of the law is emerging. Plesner represented Heavy Transport Denmark Holding before the Supreme Court as well as before the lower courts.

Viking Life-Saving Equipment A/S successful in extensive transfer pricing court case
On 19 April 2023, the District Court of Esbjerg ruled in favour of Viking Life-Saving Equipment A/S in an extensive transfer pricing case and set aside the Danish tax authorities' discretionary increase of the company's taxable income for the income years 2006-2009. The Danish Ministry of Taxation has appealed the case to the Danish Western High Court as the court of second instance. The case was conducted by Plesner.

Leading Supreme Court judgment: Collaboration on concept did not imply ownership in respect of the "Tromborg business"
Yesterday, the Danish Supreme Court delivered judgment in a case concerning alleged co-ownership of the "Tromborg business" due to a collaboration between the companies Tromborg ApS and Y ApS. The primary issue of the case was whether Y ApS owns or owned at the time of termination of the collaboration an undivided share of the "business" carried on through Tromborg ApS, including development, sale of products and operation of the "Tromborg concept". The Supreme Court found that the collaboration between Tromborg ApS and Y ApS did not result in the establishment of a "business" between the two companies in which it was possible to own an undivided share. Plesner represented Tromborg Aps in the Supreme Court.

Funds advised by Agilitas complete the buy-out of NNIT’s IT infrastructure outsourcing business
Funds advised by the pan-European mid-market private equity firm, Agilitas Private Equity LLP (Agilitas), has now completed the buy-out of the IT infrastructure outsourcing business of NNIT, including its Hybrid Cloud Solutions business and selected parts of its Cloud & Digital Solutions business, which will be run as a standalone company under the new brand Aeven. The transaction was announced at signing in June 2022 and has now closed. Plesner acted as legal counsel for Agilitas on the transaction.

Danish Supreme Court rules against tax payers in two "beneficial owner" cases regarding interest
Today, the Danish Supreme Court upheld two judgments given by the Eastern High Court in November 2021 in the two first cases in the so-called "beneficial owner" group of cases regarding interest, which both ruled in favour of the Ministry of Taxation. The Supreme Court held that Takeda (Nycomed) and NTC should have withheld tax at source in connection with interest payments to their parent company, and, further, that they acted negligently when they did not withhold the tax. Consequently, they are liable towards the Danish tax authorities for the tax claims. The Supreme Court followed the line it laid down in the judgments in the two first test cases in January 2023, also regarding interest. Plesner acted as counsel to Takeda (Nycomed).

Deutsche Börse and SimCorp have today entered into a binding agreement, pursuant to which Deutsche Börse will make an all-cash voluntary recommended public takeover offer to acquire all of the shares (excluding treasury shares) in SimCorp. Plesner is acting as legal counsel for Deutsche Börse in connection with the offer.

Danish Eastern High Court rules that Danish courts have jurisdiction in actions against two French companies
On 28 March 2023 the Danish Eastern High Court set aside the Copenhagen City Court's judgment dismissing an action for a negative declaration (a so-called "torpedo action") brought by a large Danish consultancy firm against two French companies domiciled in France. The City Court had delivered judgment dismissing the matter on the grounds that Danish courts did not have jurisdiction, but the Danish Eastern High Court found that the potentially harmful event occurred in Denmark. Accordingly, the Danish consultancy firm was able to bring the action before the Copenhagen City Court under Article 7(2) of the EU Regulation on jurisdiction and the recognition and enforcement of judgments in civil and commercial matters. Plesner represented the consultancy firm.

Flying Tiger Copenhagen expands into Bahrain, Oman, Kuwait, Qatar, Indonesia and the Philippines
Zebra A/S, the company behind the retail chain Flying Tiger Copenhagen, has expanded its global presence by entering into a Franchise Agreement with Azadea Group, a Franchise Agreement with Stores Specialists, Inc. (SSI Group), and a Retail Development Agreement with PT Ritel Panen Adiperkasa, which is part of the Indonesian retail lifestyle group PT. Mitra Adiperkasa Tbk (MAP), all regarding the exclusive rights to develop and operate the Flying Tiger Copenhagen concept in Bahrain, Oman, Kuwait, Qatar, Indonesia and the Philippines, respectively. Plesner has assisted Flying Tiger Copenhagen with the expansion into these new countries.

The Danish Eastern High Court overturns decision from the Danish Competition Council
On 27 February 2023, the Danish Eastern High Court (the "EHC") annulled a decision from the Danish Competition Council (the "DCC") pursuant to which Deutz AG, which is a German train engine manufacturer, and Deutz's Danish exclusive distributor, Diesel Motor Nordic (DMN), had infringed the competition rules by restricting passive sales and parallel trade of spare parts for Deutz train engines, and referred the case back to the DCC for renewed consideration. The EHC found that the decision was flawed, inter alia, because it was based on a misapplication of the vertical block exemption. Plesner represented DMN in the case.

Vækstfonden raises DKK 2.4 billion in Dansk Vækstkapital III
Vækstfonden, which now is a part of Denmark's Export and Investment Fund (EIFO), held a final closing of Dansk Vækstkapital III, a Danish "fund of funds" with focus on investments in venture funds and buy-out funds with a Danish approach. Dansk Vækstkapital III raised a total commitment of DKK 2.4 billion.
Plesner's Private Investment Funds team advised Vækstfonden in all phases of the structuring and formation of the fund, including the investor onboarding.

The Danish Supreme Court has given its judgment in the first two Danish "beneficial owner" cases
The Danish Supreme Court has today given its judgment in the first two test cases in the so-called "beneficial owner" group of case. The Supreme Court finds that NetApp should have withheld dividend tax in respect of a dividend distribution made in 2005 and that the Danish company is liable for the tax whereas there was no obligation to withhold tax in relation to a second dividend distribution made in 2006. At the same time, the Supreme Court holds that TDC was obliged to withhold tax in a contemplated dividend distribution to its parent company. The test cases have consequently been predominantly won by the Ministry of Taxation. Before the National Tax Tribunal the companies won the cases. Also before the High Court, NetApp was successful in respect of the first dividend (but not the second). Today's judgment is thus diametrically opposed to the one from the High Court. Plesner acted as counsel to NetApp before the Supreme Court as well as before the lower courts.

The Court of Justice of the European Union upholds practices regarding parallel import of medicinal products
In this judgment of general public importance, the The Court of Justice of the European Union ("CJEU") established on 17 November 2022 that the Falsified Medicines Directive does not change CJEU practices on the parallel import of medicinal products. The CJEU has therefore overruled the Danish Medicines Agency and its guidelines requiring, as a general rule, that parallel-imported medicinal products must be repackaged into new outer packaging. Plesner assisted H. Lundbeck A/S in this case.

Danish insurance company Codan Forsikring successful in transfer pricing case before the Danish Eastern High Court
On 17 August 2022, the Danish Eastern High Court ruled in favour of Codan Forsikring in a transfer pricing case of general public importance, thus setting aside the Danish Customs and Tax Administration’s (SKAT) decision relating to the company’s taxable income for the income years 2010-2013. The Danish Ministry of Taxation has confirmed that the case will not be appealed to the Supreme Court. Codan Forsikring was represented by Plesner.

Employer was allowed to order a Seventh-day Adventist to work on a Saturday
The Danish Supreme Court has now passed a final verdict regarding the question whether it was in contravention of the prohibition against discrimination on the grounds of religion and belief in the case where an educational institution had ordered a physical education teacher to be at work on a Saturday, although this was against his religious conviction. Plesner assisted the educational institution as well as the Danish Employee and Competence Agency ("Medarbejder- og Kompetencestyrelsen") in the case.

On 18 August 2022, after one and a half year of global fundraising, Copenhagen Infrastructure Partners (CIP) reached the EUR 3bn hard cap in their greenfield renewables energy fund, Copenhagen Infrastructure Energy Transition Fund I (CI ETF I). The Eastern High Court reduces the Ministry of Taxation's interest claim significantly in beneficial owner case
Today, the Eastern High Court handed down yet another ruling in the so-called "beneficial owner" cases. The High Court ruled that Heavy Transport Holding Denmark should have withheld dividend tax in connection with a dividend distribution to its Luxembourg parent company. However, the High Court also states that it was not in accordance with principles of due process and fair trial that the Ministry of Taxation had a practice of declining offers of payment of the disputed tax in a situation such as this one where the taxpayer had won the case before the National Tax Tribunal, after which the case had been appealed to the courts by the ministry. Heavy Transport Holding Denmark was therefore exempted from paying interest on late payment in respect of the past 7 years. Plesner represented the company before the High Court. The judgment is expected to be appealed to the Supreme Court.

First Danish transfer pricing dispute decided in arbitration under the EU Arbitration Convention
Quite recently, history was made in Danish tax law when a so-called "advisory commission" - an arbitration tribunal - delivered its first ever opinion in a Danish transfer pricing dispute. Plesner represented in cooperation with Deloitte the multinational group with Danish roots in the arbitration proceedings, including in the oral presentation and discussion before the arbitration tribunal. The unanimous opinion of the arbitration tribunal leads to a significant reduction of the adjustment made by the Tax Agency (and a corresponding adjustment of the maintained part of the adjustment in the UK so that double taxation is fully eliminated).

The Eastern High Court rules against the tax payers in two new "beneficial owner" cases
Today, the Eastern High Court has given its judgment in another two test cases in the so-called "beneficial owner" group of cases. The High Court has ruled that Takeda (Nycomed) and NTC should have withheld tax at source in connection with payments of interest on group internal loans, and that they are liable for the unwithheld tax. The Ministry of Taxation has consequently prevailed in the cases. Plesner was in charge of Takeda's test case before the High Court. The judgment is expected to be appealed to the Supreme Court.

The Eastern High Court rules in favour of NetApp in the "beneficial owner" cases
The Eastern High Court has given its judgment in the two first test cases in the so-called "beneficial owner" group of cases - with two different outcomes. The High Court has ruled that NetApp was not obliged to withhold tax at source in connection with a major dividend distribution, and the company has consequently prevailed in the case. Plesner represented NetApp in this pilot case both before the High Court and the National Tax Tribunal (which also ruled in favour of NetApp).

Dismissal of case due to lack of jurisdiction in Denmark
In a case instituted by Garantifonden for Skadeforsikringsselskaber (the “Guarantee Fund”) against an insurance broker, a reinsurance company and an insurance company in bankruptcy, which were all foreign, the issue of jurisdiction had been tried and heard separately. The three defendants claimed dismissal of the case, pleading that the Danish courts did not have jurisdiction to hear the claims.
By a judgment of 18 January 2021, the Eastern High Court set the case down for a hearing on the merits against one of the defendants but dismissed the case against the two other defendants, the reinsurance company (Barbican Speciality Reinsurance) and the insurance company, due to lack of jurisdiction. The judgment has not been appealed to the Supreme Court. Plesner advised Barbican on the matter.Highlight - 22.03.2021

Fibia has opened its fibre network and has entered into the first wholesale agreement with Nuuday. Danish Supreme Court: Danish tax authorities may refuse deduction for part of salary with retroactive effect
The Danish Supreme Court has passed judgment in favour of the Danish tax authorities to the effect that the authorities may refuse a right to deduct part of payroll costs retroactively. The Danish Minister for Taxation has announced that new legislation will be introduced to mitigate the effects of the Danish tax authorities' change of practice. The Danish banks Arbejdernes Landsbank and Lån & Spar Bank against whom the proceedings were commenced were not successful in the Danish Supreme Court as opposed to in the Danish Eastern High Court. Skaugen wins arbitration concerning fuel consumption on ship engines
In an arbitral award rendered by an ICC-tribunal on 17 May 2017, I.M. Skaugen (Norway) won a significant victory in a dispute with MAN Diesel & Turbo SE (Germany/Denmark) concerning the fuel consumption on marine diesel engines. The arbitral tribunal held that Plesner's client, I.M. Skaugen SE, could rightfully terminate a contract with MAN Diesel & Turbo SE concerning Skaugen's purchase and MAN's sale of two sets of marine diesel engines of the type 6L 48/60B (with related propellers). According to the award, Skaugen could do so as a consequence of the engines having a higher fuel consumption level than warranted by MAN Diesel, because MAN Diesel deliberately manipulated the official tests in order to conceal this, and finally because MAN Diesel subsequently withheld all information about these issues.

No discount to director in connection with bankruptcy-related disqualification
The usual period of bankruptcy-related disqualification is three years. Danish case law has developed the practice that the defendant director gets a discount of one year on the usual period of the bankruptcy-related disqualification of three years if the ruling on the bankruptcy-related disqualification is made more than one year after the issue of the bankruptcy order. In the decision the Danish Maritime and Commercial High Court established that despite the fact that the ruling was made about 18 months after the order, the defendant was not to be given a discount on the period of the bankruptcy-related disqualification as about six months of the case processing time could be attributed to the defendant.

Supplier of façades successful in arbitration proceedings against large hotel
A leading supplier of façades faced a claim for a reduction/damages of more than DKK 75 million by a large Danish hotel. The matter has now been settled by an arbitration tribunal in favour of the supplier of façades that is only to pay about DKK 7 million whereas the hotel was ordered to pay all legal costs relating to the arbitration tribunal's hearing of the matter. Schultz successful in case against Karnov about the use of UfR numbers
In its competing law reports Schultz may still allow searches for judgments by using the so-called UfR numbers from Karnov's Danish weekly law reports (Ugeskrift for Retsvæsen) and may refer to such UfR numbers as one of the pieces of information about the judgments.

The EU Court of Justice once again disqualifies Danish tax legislation
Yesterday, in a case of general public interest, the Court of Justice of the European Union ruled in favour of Masco Denmark ApS and Damixa ApS, establishing that section 11(6) of the Danish Corporation Tax Act on tax exemption for group related interest income is in conflict with EU law as the provision only applies in respect of interest paid by a Danish company. The case was conducted by Plesner in cooperation with PwC.

This was established by the Danish Board of Equal Treatment in a decision of 22 June 2016. In the specific case, an educational institution was entitled to dismiss a teacher who had been unfit for work for 7 months due to a whiplash and a concussion. The teacher's illness prevented him from participating in the labour market on an equal footing with others, but the duration of the illness of 7 months did not meet the requirement for long duration as defined by the Danish Anti-Discrimination Act.

Payroll tax - Danish High Court finds in favour of banks in a case of general public importance
The Danish Western High Court found in favour of Spar Nord Bank A/S' (formerly Sparbank A/S) claim that it was entitled to calculate payroll tax based on a breakdown of turnover under section 38 of the Danish Act on VAT (pro rata rate). The High Court found that the Danish Customs and Tax Administration has the authority to set aside a company's discretionary allocation of payroll costs on taxable and non-taxable activities based on an allocation of payroll costs based on turnover, if it is obvious that such allocation is not true and fair compared with the actual time spent. The High Court held that the bank's assessment based on the breakdown of turnover was misleading compared with an assessment of the actual use of resources. But the High Court did not find any basis for setting aside the bank's assessment as the Danish Customs and Tax Administration's assessment was not found to be more true and fair than that of the bank. Plesner conducted the cases on behalf of the bank.

Judgment in favour of banks in tax case of general public importance
It was a change of practice when in 2012 and 2013 the Danish tax authorities refused the Danish banks Arbejdernes Landsbank and Lån & Spar Bank to deduct payroll costs paid in connection with the acquisition of other banking activities. On 1 June 2016 the Danish Eastern High Court consequently found for the two banks in two of the cases brought by the Danish Ministry of Taxation against the banks where the High Court very clearly and unambiguously rejected the Danish tax authorities' attempt to tighten the practice with retroactive effect. Plesner conducted the cases on behalf of the two banks.

The Danish Western High Court established in a judgment of 8 January 2016 that the City of Aarhus is not entitled to impose so-called service charges on properties owned by upper secondary schools in Aarhus. The case is of general public importance, which means that public upper secondary schools in Denmark are not to pay service charges. Overall, the result is a significant amount running into millions annually that was otherwise to be taken from the education budgets. In the pending tax cases on "beneficial ownership" the Danish Ministry of Taxation has now, after exchanging pleadings for many years, acknowledged that the Danish rules in force up to 2008, according to which a higher tax rate was imposed on withholding tax compared to the ordinary corporate income tax rate, are in conflict with the right of free establishment of the EC Treaty. Plesner plays a leading role in the pending court cases in which questions will now be referred to the Court of Justice of the European Union for its assessment of the many other EU law issues of the cases.

LEGO successful in insurance case of general public importance
With assistance from Plesner LEGO A/S has won a case of general public importance before the Danish High Court about wrongful termination of indemnity insurance covering LEGO factories all over the world. The judgment stipulates that If Skadeforsikring is to pay damages in the amount of DKK 5.6 million plus interest to LEGO.

Pfizer successful in a leading case concerning substitution of medicinal products
Assisted by Plesner, Pfizer has been successful in a leading case before the Danish Maritime and Commercial High Court concerning Pfizer's product Lyrica® that contains pregabalin as an active ingredient. The Danish Maritime and Commercial Court ruled that all Danish pharmacies are to be enjoined from dispensing the medicinal product Pregabalin "Krka", a generic version of Lyrica®, for the treatment of pain.
